LBK WHOLESALE TERMS & CONDITIONS

Including Minimum Advertised Price (MAP) Policy

These Terms & Conditions (“Agreement”) govern all wholesale purchases from LBK (“Company,” “we,” “our,” or “us”). By placing a wholesale order, the purchaser (“Wholesale Partner,” “Client,” “you,” or “your”) agrees to be legally bound by the terms below.

1. Program Scope

LBK Wholesale provides bulk access to our Luxury Collection Lash Trays.

The Luxury Collection is exclusively available through wholesale and is no longer offered at retail by LBK.

Wholesale Partners are authorized to resell LBK-branded Luxury Collection Lash Trays in original, unaltered packaging only.

Repackaging, relabeling, modifying, or removing LBK branding is strictly prohibited. Custom branding requires participation in the LBK Private Label program.

2. Minimum Order Requirements

  • Minimum order quantity: 50 trays

  • Tiered pricing applies based on total quantity ordered

  • Pricing tiers may be modified at any time without prior notice

Orders must meet MOQ requirements at checkout to be processed.

3. Payment Terms

  • 100% payment is required at checkout

  • No net terms unless agreed to in writing

  • Orders will not ship until payment has cleared

Chargebacks, disputes, or unauthorized reversals constitute breach of contract and may result in:

  • Immediate termination of wholesale access

  • Collection action

  • Recovery of legal fees

  • Permanent refusal of future service

4. Minimum Advertised Price (MAP) Policy

To protect the integrity and positioning of the LBK Luxury Collection, the following MAP Policy applies to all wholesale partners.

MAP Requirement

Wholesale Partners may not advertise LBK Luxury Collection Lash Trays below:

$18 per tray (USD)

This applies to:

  • Websites

  • Social media posts

  • Paid advertisements

  • Email campaigns

  • SMS marketing

  • Public promotions

  • Third-party marketplaces

What Is Allowed

  • Wholesale Partners may sell at any price in private transactions.

  • Discounts may be offered via direct invoice, loyalty programs, or private coupon codes not publicly displayed.

  • Bundled promotions are allowed if the advertised per-unit price does not fall below MAP when clearly broken out.

Violations

If a MAP violation occurs:

1st Violation → Written warning
2nd Violation → Temporary suspension of wholesale access
3rd Violation → Permanent termination of wholesale privileges

LBK reserves sole discretion in determining violations.

No Price Matching Obligation

LBK is not obligated to match or respond to pricing discrepancies created by third-party sellers.

5. Pricing Confidentiality

Wholesale pricing is confidential and may not be publicly disclosed.

Wholesale Partners may not publish wholesale pricing tiers or cost structures.

6. All Sales Final

All wholesale orders are final.

  • No refunds

  • No cancellations

  • No exchanges

Minor packaging or production variances within industry standards do not constitute defect.

7. Shipping & Risk of Loss

Risk of loss transfers to Wholesale Partner once order is delivered to the shipping carrier.

LBK is not responsible for:

  • Carrier delays

  • Lost packages

  • Damage caused by third-party shipping providers

Shipping claims must be filed directly with the carrier.

8. Intellectual Property & Brand Use

All LBK trademarks, product names, packaging, and branding remain the sole property of LBK.

Wholesale Partners may not:

  • Alter packaging

  • Remove branding

  • Claim ownership of LBK product

  • Register LBK product names as trademarks

Unauthorized brand misuse may result in termination and legal action.

9. Limitation of Liability

LBK’s liability shall not exceed the amount paid for the specific wholesale order in question.

LBK shall not be liable for:

  • Lost profits

  • Business interruption

  • Indirect or consequential damages

  • Marketing performance

Wholesale Partner assumes full responsibility for resale operations.

10. Right to Refuse Service

LBK reserves the right to suspend or terminate wholesale access at its sole discretion, including but not limited to:

  • MAP violations

  • Fraudulent activity

  • Brand misuse

  • Payment disputes

11. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the State of Florida.

Any dispute shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida.

Wholesale Partner consents to jurisdiction and venue in such courts.

12. Dispute Resolution

Parties agree to attempt good-faith resolution prior to litigation.

If legal action is required, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

13. Agreement Acknowledgment

By placing a wholesale order, Wholesale Partner acknowledges that they have read, understood, and agreed to these Terms & Conditions in full.
